Rewards Program Terms & Conditions

1. Program Nature & Unilateral Rights (The "Shield")

The Curaprox Rewards Program (the "Program") is a discretionary loyalty benefit provided by Curaden USA Inc. at its sole and absolute discretion. Participation is a privilege, not a right. By participating, you acknowledge that points are a gift, not a debt, and hold no cash value. Curaden USA Inc. reserves the unilateral right to:

• Modify, suspend, or terminate the Program (including earn rates, redemption rates, batch sizes, and minimum thresholds) at any time, for any reason.

• Change point-to-dollar conversion rates or reward availability.

• Void any points that remain unredeemed upon Program termination.

Notice for material adverse changes to already-earned points. Notwithstanding the unilateral rights above, if Curaden makes a material adverse change to the redemption ratio or the validity of points already earned by participants at the time of the change, Curaden will provide affected participants at least 30 days' notice through the Curaprox Club app or by email before the change takes effect. During the notice period, points already earned may be redeemed at the then-current rate. This notice obligation applies only to material adverse changes affecting already-earned points. Introductions of new rewards, expansions of the Program, and changes to rules governing points earned after the change takes effect (such as a future earn rate or a forward-looking expiry rule) may take effect immediately.

2. How the Program Works

You earn points two ways:

• Purchase points: 5 points for each US dollar spent on a paid Curaprox.us order, credited automatically when Shopify confirms payment. Eligible for orders dated on or after March 1, 2026.

• Referral points: 2 points for each US dollar of a friend's order that uses your unique referral discount code, credited when their order is paid.

Points from before the Program launch. Some accounts may display point balances accrued from purchases made prior to March 1, 2026. Those points originate from our store-data migration and are credited as a one-time goodwill gesture. They do not establish any retroactive rate, any ongoing entitlement, or any Program obligation for periods before the launch date, and no claim can be made for additional retroactive credit.

You redeem points in batches of 1,000 (1,000 points = $10) for one-time-use Shopify discount codes applied at checkout. Codes are locked to your customer account. The current earn rates, redemption ratio, and batch size may change at any time under Section 1, subject to the notice provision for material adverse changes to already-earned points.

Points expiry (per-batch). Each batch of points expires 12 months from the date it was credited to your account. Different batches earned on different days have different expiration dates, and earning new points does not extend the life of older points. When you redeem points, redemptions are applied to your oldest unexpired points first (first-in, first-out). For example: if you earn 200 points on May 1 and 300 points on October 1, your 500-point balance consists of two batches — the May 1 batch expires the following May 1, and the October 1 batch expires the following October 1. A 100-point redemption in June would be drawn from the May 1 batch, leaving 100 in that batch that will still expire on the original date. Your balance, the date each batch was earned, and the resulting expiration date are recorded in your Curaprox Club account. Points lost to expiration cannot be reinstated. Curaden may, but is not required to, send a reminder before a significant batch expires.

3. Referral Program Rules (Anti-Fraud)

To maintain a fair system, the following rules are enforced:

• No Self-Referrals: You cannot refer yourself, your spouse, or other members of your household. We monitor for matching identifiers and reserve the right to deny attribution if a referral appears to be self-directed.

• New Customers Only: Referral rewards are valid only when referring new customers who have never made a previous Curaprox.us purchase.

• Order Must Be Paid: Referral rewards are credited when the referred friend's order is paid through Shopify. If the order is subsequently cancelled, refunded, or otherwise reversed, the associated points may be retroactively voided.

• No Public Posting: Sharing referral links on public coupon or deal forums (e.g., Reddit, RetailMeNot, Slickdeals) is prohibited. Links found on these sites will be deactivated and the associated points voided.

4. Use by Dental Professionals

If you are a dental professional — including a dentist, dental hygienist, dental therapist, or other employee of a dental practice — your use of a Curaprox Club referral code in connection with your professional duties (for example, sharing it with a patient during a clinical visit) is solely your responsibility. You are responsible for ensuring such use complies with:

• Your employment agreement and your employer's policies on outside compensation or moonlighting;

• The financial-interest disclosure rules of your state dental board and any professional code of ethics that applies to you;

• Any state or federal anti-kickback or commission-restriction laws applicable to your practice.

Where required by these rules, you must obtain your employer's consent in advance and disclose your financial interest in any product recommendation to the patient. Curaden does not act as your employer, agent, or compliance officer. Curaprox Club is a consumer Program; any use of it in a professional context is at your own discretion and at your own risk.

5. Rewards Redemption & Restrictions

• No Stacking: Unless explicitly stated, reward codes cannot be combined with other discounts, site-wide sales, or promo codes.

• Taxes & Shipping: Reward redemption discounts apply to the eligible product subtotal only. Sales tax and shipping fees remain the responsibility of the participant.

• Single Use: Each redemption code can be used once and is locked to the customer account that earned it. Codes cannot be transferred or resold.

6. Automatic Enrollment & Technical Triggers

Points accrue automatically via Curaden's Shopify webhook integration when a paid order is recorded. This is a convenience feature and does not constitute a contract. Curaden USA Inc. reserves the right to reverse any points awarded in error, including due to technical glitches, sync delays, or duplicate-email variations (e.g., john+1@gmail.com).

7. Audit & Account Review

We monitor for unusual patterns of activity. Curaden USA Inc. reserves the right to audit any account and to void points, suspend redemption privileges, or close accounts that demonstrate high referral failure rates, automated activity, or other patterns that suggest the Program is being exploited.

8. Privacy & 2026 Compliance

Under applicable US privacy laws, your participation data — purchase history (order dates, amounts, IDs), referral attribution records, and points ledger entries — is stored and processed by Curaden USA Inc. Full data-handling details are documented in our Privacy Notice. You may request data deletion at any time, which results in the permanent forfeiture of all accrued points.

California — Notice of Financial Incentive (Cal. Civil Code § 1798.125). The Curaprox Rewards Program is a financial incentive offered to California residents in connection with the collection and use of personal information. To operate the Program, Curaden collects and retains identifiers (name, email, Shopify customer ID), commercial information (orders and referral attribution), and Program-related activity (points-ledger entries). Curaden does not sell personal information. The good-faith estimated value of the personal information and engagement Curaden receives from a participating member is comparable to the average value of reward redemptions the member earns through the Program over their lifetime in the Program. Participation is voluntary: you opt in by joining the Program (via the Curaprox Club app or by checking out on curaprox.us with a Curaprox Club account), and you may withdraw at any time by requesting account deletion, which removes you from the Program, erases your points balance, and ends any further use of your personal information for Program purposes.

9. Limitation of Liability

Curaden USA Inc. is not liable for "lost" points due to software errors, account deletion, or Program termination. Participation is at your own risk.

10. Governing Law

These Terms and the Program shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the courts located within that jurisdiction — except where applicable state consumer-protection law (including the California Unfair Competition Law (Cal. Bus. & Prof. Code § 17200 et seq.) and the California Consumer Privacy Act / California Privacy Rights Act) confers on a participant a non-waivable right or remedy. In that case, those rights and remedies are preserved and may be enforced in the participant's home jurisdiction as required by that law.
